Provectus Capital Partners announces its first investment in Romania through a partnership with Seatbelt Consulting, Romania’s leading occupational health and safety services provider

Bucharest, Romania, 11 June 2026 - Provectus Capital Partners (“Provectus”) is pleased to announce it has signed a definitive agreement to acquire a majority stake in Seatbelt Consulting (“Seatbelt” or the “Company”), Romania’s leading occupational health and safety (“OHS”) services provider. The transaction represents Provectus’ first platform investment in Romania and an important milestone in the firm’s broader Southeast European expansion strategy, following the launch of Fund II and the establishment of dedicated local presence in Romania and Bulgaria.

Founded by Bogdan Neagu, Seatbelt has developed into a market leader in Romania’s OHS sector by combining regulatory expertise, nationwide service capabilities and a proprietary technology platform that enables efficient delivery of compliance solutions to corporate clients. Today, the Company serves more than 1,300 corporate clients across Romania, supported by a strong reputation for service quality, technical expertise and long-standing customer relationships.

The transaction represents a partnership between Provectus and Seatbelt’s founder and management team, who will remain invested in the business and continue leading the Company through its next phase of growth. By combining Seatbelt’s market leadership and entrepreneurial culture with Provectus’ experience in scaling founder-led companies and executing buy-and-build strategies, the partnership creates a strong foundation to accelerate the Company’s next stage of development.

The investment marks Provectus’ first investment in the OHS sector and reflects its conviction in a market supported by increasing demand for high-quality, technology-enabled compliance solutions. Romania’s fragmented OHS market creates significant opportunities to scale established players and develop larger, more integrated service platforms.

Together, Seatbelt and Provectus will focus on expanding the Company’s service offering, further investing in digital capabilities, strengthening organizational infrastructure and pursuing selected acquisitions to build an even stronger occupational health and safety platform in Romania.

“Over the past fifteen years, we have built Seatbelt into a trusted partner for companies across Romania by combining technical expertise, high-quality service and continuous innovation. In Provectus, we have found a partner that shares our vision and brings the experience needed to accelerate our growth while preserving the entrepreneurial and customer-focused culture that has defined Seatbelt from the beginning. Together, we look forward to expanding our capabilities and continuing to set new standards for the OHS industry in Romania,” said Bogdan Neagu, Founder of Seatbelt Consulting.

“Seatbelt represents exactly the type of business we look for at Provectus: an entrepreneurial company with a leading market position, strong management team, differentiated capabilities and significant potential for further growth. We are particularly excited that our first Romanian investment is a partnership with a founder-led company where we can support the next stage of development through operational support, digitalization and consolidation. We look forward to working with Bogdan Neagu and the Seatbelt team to build the leading integrated OHS platform in Romania,” said Cosmin Comsa, Director at Provectus Capital Partners.

“Entering Romania is an important strategic milestone for Provectus and a natural continuation of our evolution as a Southeast European investment platform. Romania combines strong economic fundamentals, a large base of successful entrepreneurs and attractive opportunities for consolidation in fragmented industries. Our investment in Seatbelt reflects our long-term conviction in the Romanian market and our ambition to partner with outstanding founders across the region to build larger, stronger and more competitive businesses,” said Ivan Dujmović, Partner at Provectus Capital Partners.

The transaction is expected to close following the satisfaction of customary closing conditions.
